These Terms of Service ("Terms") govern your access to and use of the Serpyn platform and website (collectively, "Services"), operated by Serpyn Inc. ("Serpyn", "we", "our"). By creating an account or using the Services, you agree to these Terms. If you are using Serpyn on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

1. Description of Services

Serpyn is a multi-tenant business management SaaS platform providing AI-powered tools for HR, recruitment, finance, sales, marketing, procurement, inventory, operations, and support. Services include a web portal at app.serpyn.com, AI Bot integrations (Telegram and other channels), and API access for connected third-party platforms (Google, Meta, X.com).

2. Accounts & Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use Serpyn. Each organisation may create one master account and may invite additional team members subject to the seat limits of their subscription plan. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

3. Subscriptions & Credits

3.1 Subscription Plans

Serpyn offers subscription plans as listed on serpyn.com/pricing. Subscriptions are billed in advance on a monthly or annual basis. Prices are displayed inclusive of applicable taxes where required by law.

3.2 AI Credits

AI-powered features (CV parsing, Smart Interview evaluation, AI Bot queries, report generation) consume credits from your organisation's wallet. Credits are non-transferable between organisations, do not expire within the active subscription period, and are not redeemable for cash.

3.3 Free Trial

Serpyn may offer a free trial period. At the end of the trial, continued access requires a paid subscription. We reserve the right to modify or terminate free trial terms at any time.

3.4 Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will not be charged again. We do not provide refunds for partial billing periods or unused credits, except where required by applicable law.

4. Acceptable Use

You agree not to use the Services to:

  • Upload, transmit, or store content that is unlawful, defamatory, or violates any third-party rights.
  • Attempt to reverse-engineer, decompile, or extract source code from the platform.
  • Circumvent, disable, or otherwise interfere with security or access control features.
  • Use automated means (scrapers, bots, crawlers) to access the platform other than through our documented API.
  • Introduce malicious code, conduct denial-of-service attacks, or probe for vulnerabilities without prior written authorisation.
  • Attempt to prompt-inject or otherwise manipulate the AI systems to bypass security controls or access data outside your authorised scope.
  • Violate any applicable local, national, or international law or regulation.

5. Your Data & Intellectual Property

5.1 Your Content

You retain full ownership of all data and content you upload to Serpyn ("Your Content"). By using the Services, you grant Serpyn a limited, non-exclusive licence to store, process, and transmit Your Content solely to provide the Services to you. We do not claim any ownership over Your Content.

5.2 Serpyn Intellectual Property

The Serpyn platform, including its software, design, trademarks, and documentation, is owned by Serpyn Inc. and protected by intellectual property law. Nothing in these Terms transfers any ownership of Serpyn IP to you.

5.3 Feedback

If you submit suggestions, bug reports, or feature requests to Serpyn, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without any obligation to compensate you.

6. Third-Party Integrations

The Services allow you to connect third-party accounts (Google, Meta, X.com, Telegram). Your use of those integrations is subject to the respective provider's terms and privacy policies. Serpyn is not responsible for the availability, accuracy, or practices of third-party services. You are responsible for ensuring you have the right to connect and share data from those accounts.

7. AI-Generated Content

Serpyn's AI features produce automated outputs (interview evaluations, report summaries, bot responses). These outputs are generated by large language models and may contain errors or inaccuracies. You are solely responsible for reviewing AI-generated content before acting on it. Serpyn does not warrant the accuracy, completeness, or fitness for any particular purpose of AI-generated outputs.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party ("Confidential Information") and not to disclose it to third parties without prior written consent, except as required by law or as necessary to provide the Services. This obligation survives termination of these Terms for a period of three (3) years.

9. Availability & Modifications

We aim to provide a reliable service but do not guarantee uninterrupted availability. Serpyn may modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will endeavour to provide at least 7 days' notice for planned maintenance and 30 days' notice for significant feature removals.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SERPYN DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERPYN'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO SERPYN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SERPYN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Serpyn Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Services in violation of these Terms; (b) Your Content; or (c) your violation of any third-party rights.

13. Termination

Either party may terminate the agreement under these Terms at any time. Serpyn may suspend or terminate your access immediately and without notice if you materially breach these Terms or if required by law. Upon termination, your right to access the Services ceases. Sections 5, 8, 10, 11, and 12 survive termination.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with applicable law. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction in the jurisdiction where Serpyn Inc. is registered.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and notify registered users by email at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes your acceptance of the updated Terms.
